Terms of Service

1. Scope of Services

We provide ongoing product design, user interface (UI), user experience (UX), and related creative services ("Services") on a subscription basis.

• Requests are fulfilled sequentially.
• We are dedicated to delivering high-quality, technically feasible, and Web3-ready design assets.
• Specific tasks, deliverables, and priorities are managed dynamically via our designated project management platform.

2. Subscription and Payment Terms

• Billing Cycle: Your subscription begins upon initial payment and automatically renews on a monthly basis.
• Payment: Payments are due in full at the beginning of each billing cycle to maintain an active design queue.
• No Refunds: Due to the bespoke, high-quality nature of the creative work provided, all subscription payments are non-refundable.

3. Intellectual Property Rights

• Final Deliverables: Upon full, on-time payment for the active billing cycle, you receive full ownership and usage rights of the final, approved digital design files and deliverables.
• Working Files: We retain ownership of all preliminary concepts, unselected drafts, and proprietary design frameworks (including custom code, UI kits, and foundational elements) used to create the final deliverables.
• Portfolio Rights: We reserve the right to display completed projects and assets in professional portfolios, on social media, and on pe.design or paradiseengineering.co, unless prohibited by a separate, mutually agreed-upon Non-Disclosure Agreement.

4. Communication and Workflow

• Asynchronous Operations: As a solo studio, all project requests, feedback, and revisions must be submitted through the designated project management board.
• Request Queue: You are entitled to unlimited design requests and revisions while your subscription is active. To ensure maximum quality and focus, we process and deliver one active request at a time.

5. Pause and Cancellation

• Pausing: You may pause your subscription at any time. The remaining days in your current billing cycle will be banked and applied when you choose to resume the subscription.
• Cancellation: You may cancel your subscription at any time. To avoid being charged for the next billing cycle, cancellations must be made prior to the renewal date. We do not prorate cancellations for the current cycle.

6. Confidentiality

Both parties agree to keep all proprietary information, business strategies, tokenomics, and unreleased product details strictly confidential. We will not share your proprietary data with third parties without your explicit written consent.

7. Limitation of Liability

Our liability for any claim arising out of this agreement will not exceed the total subscription fees paid by you in the two (2) months immediately preceding the claim. We are not liable for any indirect, incidental, or consequential damages, including lost profits or revenue, related to the implementation of the provided designs.

8. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.
